OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. THIS PROMOTION IS INTENDED FOR ENTRY IN THE UNITED STATES, CANADA (EXCLUDING QUEBEC) AND ARGENTINA (EXCLUDING MENDOZA, NEUQUEN, RIO NEGRO, SALTA AND TIERRA DEL FUEGO) ONLY AND WILL BE GOVERNED BY EACH COUNTRY’S APPLICABLE LAW.

DATES/DETAILS: The “Discover Your Panama” Giveaway (the “Sweepstakes”) begins at 12:00 a.m. Eastern Standard Time (“EST”) on February 16, 2021 and ends at 11:59 p.m. EST on March 15, 2021 (the “Sweepstakes Period”). For purposes of these Official Rules, all times are given in EST. The date and time stamp from the Website (defined below), as determined by the Sponsor, will be the “official computer” and official time keeping device for this Sweepstakes.

The Sweepstakes consists of three (3) individual giveaways (each, a “Giveaway”): (a) the US Giveaway; (b) the Canada Giveaway; and (c) the Argentina Giveaway. There will be one (1) grand prize (each, a “Grand Prize”) awarded for each Giveaway as further described in the “HOW TO ENTER” and “WINNING/NOTIFICATION” sections below.

ELIGIBILITY: The Sweepstakes is open only to legal residents of; (a) the fifty (50) United States and the District of Columbia (“US Residents”); (b) Canada, excluding the province of Quebec (“Canadian Residents”); and (c) Argentina, excluding the provinces of Mendoza, Neuquén, Río Negro, Salta and Tierra del Fuego (“Argentina Residents”). For purposes of these Official Rules, US Residents, Canadian Residents, and Argentina Residents shall be collectively referred to as the “Entrants”. Entrants must be eighteen (18) years of age or older (or the age of majority in their respective jurisdiction/province of residence, whichever is higher). The US Giveaway winner must have a unique, personal and valid social security number for Sponsor (defined below) to report the tax liability associated with acceptance of the respective prize. Valid social security numbers will be determined by Internal Revenue Service (“IRS”) requirements as further defined in the “PRIZE CLAIMS” section of these Official Rules. Prize winners from other countries receiving prizes in excess of $600 USD may be required to complete and return an IRS Form W8-BEN as further described in the “PRIZE CLAIMS” section herein.

Employees and their immediate family members (parents, children, siblings or spouse, regardless of where they live, or persons living in the same household, whether related or not) of FONDO DE PROMOCION TURISTICA (PROMTUR) (the “Sponsor”), and each of their respective parent companies, divisions, affiliates, subsidiaries, distributors, advertising and agencies, and any others engaged in the development, production, execution or distribution of this Sweepstakes, including but not limited to National Sweepstakes Company, LLC (the “Independent Administrator”) and Beautiful Destinations (all of the aforementioned collectively referred to as the “Sweepstakes Entities”), are not eligible to participate. The Sweepstakes is subject to all federal, state, provincial/territorial and local laws and regulations and is void in Quebec, Mendoza, Neuquén, Río Negro, Salta and Tierra del Fuego as well as outside the US, Canada, and wherever else restricted or prohibited by law. By entering this Sweepstakes, Entrants indicate their full and unconditional agreement to, and acceptance of, these Official Rules and the decisions of the Sponsor and/or Independent Administrator, which are final and binding in all respects. Winning a Grand Prize is contingent upon fulfilling all requirements set forth herein.

HOW TO ENTER: To enter the Sweepstakes, visit discover.visitpanama.com/sweepstakes (the “Website”) during the Sweepstakes Period and, after selecting your country of residence from the drop down menu provided, submit your first name, last name, address, city/province, state/territory, zip/postal code, email address and date of birth. Then, check the box indicating you agree to these Official Rules and press the “Submit” button to receive one (1) entry into the Giveaway associated with your country of residence. Example: All US Resident Entrants who select the United States from the drop down menu in the entry form, will be entered into the US Giveaway; All Canadian Residents who select Canada from the drop down menu in the entry form, will be entered into the Canada Giveaway; and all Argentina Residents who select Argentina from the drop down menu in the entry form, will be entered into the Argentina Giveaway.. Entrants may only enter one (1) Giveaway which must correspond with the country for which he/she resides. All personally and non-personally identifiable information will be collected and used as further described in the “PRIVACY” section herein.

Limit of one (1) entry per person. Multiple entries submitted by a single Entrant exceeding the entry limit above will not be considered eligible. Entries submitted or completed by anyone other than the Entrant are void. No mechanical reproductions will be accepted. Sponsor will not verify receipt of entries for Entrants. In the event of a dispute regarding the identity of the person who submitted an entry, the entry will be deemed submitted by the Authorized Account Holder (defined below) of the e-mail address submitted in the entry form. “Authorized Account Holder” is defined as the natural person who is assigned to an e-mail address by the Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. An Entrant may be requested to provide Sponsor with proof that the Entrant is the Authorized Account Holder of the email address associated with the entry. Any attempt by any Entrant to enter this Sweepstakes using multiple/different accounts or any other methods may void the Entrant’s entries and may result in disqualification, at the sole discretion of Sponsor. Use of any automated system to participate in the Sweepstakes is prohibited and may result in disqualification. The Sweepstakes Entities are not responsible for any entry that is lost, late, misdirected or undeliverable, whether due to system errors, omissions, interruptions, deletions, defects, delays in operation or transmissions or any other reason, theft or destruction or failures, faulty transmissions or other telecommunication malfunctions, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, technical malfunctions, or otherwise. Late entries or entries sent via any other method than those stated above will not be accepted.

WINNING/NOTIFICATION: On or about March 16, 2021 at approximately 12:00 p.m. EST, three (3) potential grand prize winners (each, a “Grand Prize Winner”) will be selected as outlined below. For purposes of these Official Rules, all Grand Prize Winners selected are “potential” until they have completed the verification process described in the “PRIZE CLAIMS” section below.

US Giveaway: For the US Giveaway, one (1) Grand Prize Winner will be selected from among all eligible US Resident entries received during the Sweepstakes Period. Odds of being selected as the US Giveaway Grand Prize Winner are dependent upon the total number of eligible US Resident entries received during the Sweepstakes Period.
Canada Giveaway: For the Canada Giveaway, one (1) Grand Prize Winner will be selected from among all eligible Canadian Resident entries received during the Sweepstakes Period. Odds of being selected as the Canada Giveaway Grand Prize Winner are dependent upon the total number of eligible Canadian Resident entries received during the Sweepstakes Period.
Argentina Giveaway: For the Argentina Giveaway, one (1) Grand Prize Winner will be selected from among all eligible Argentina Resident entries received during the Sweepstakes Period. Odds of being selected as the Argentina Giveaway Grand Prize Winner are dependent upon the total number of eligible Argentina Resident entries received during the Sweepstakes Period. Assuming that there would be one hundred thousand (100,000) eligible Argentina Resident entries, chances of winning the Argentina Giveaway would be of 1:100,000.

Each of the random drawings will be conducted by the Independent Administrator (using a random number generating software) whose decisions are based upon their sole discretion and interpretation of these Official Rules and are final and binding in all respects. All ineligible entries will be removed from the total database of Entrants per country prior to conducting each country’s random drawing. The potential Grand Prize Winners will be notified by the Independent administrator via email within one (1) to three (3) business days from the date in which the random drawings take place. Each Grand Prize Winner will be required to complete the prize claims and verification process as further described in the “PRIZE CLAIMS” section below. Independent Administrator will only make two (2) attempts to reach a potential Grand Prize Winner via email. In the event the Independent Administrator cannot reach a potential Grand Prize Winner after two (2) attempts have been made, the original potential Grand Prize Winner will be disqualified and an alternate Grand Prize Winner (selected randomly as outlined above) will be notified until one (1) Grand Prize Winner is confirmed per country.

PRIZE CLAIMS:

All Winners: Except where prohibited, potential Grand Prize Winners will be required to complete, execute and return an Affidavit of Eligibility, Liability and Publicity Release in a form provided by the Independent Administrator (the “Release”) within seven (7) days or less from receipt of the Release from the Independent Administrator via email. The guest accompanying the Grand Prize Winner on the Trip (further describe ed in the “PRIZES” section below) (each, a “Guest” or “Travel Companion”) will also be required to sign and return a Travel Companion Waiver in a form provided by the Sponsor (“Waiver”) within seven (7) days or less from receipt of the Waiver from the Sponsor via email.
US Resident Winner: The US Resident Grand Prize Winner will also be required to complete and return an IRS Form W-9 (“W-9 Form”) within seven (7) days or less from receipt of the W-9 Form from the Independent Administrator via email. 1042S
Canada and Argentina Resident Winners: Potential Grand Prize Winners located in Canada and Argentina will also be required to complete and return and IRS Form W8-BEN within seven (7) days or less from receipt of the W-9 Form from the Sponsor via email. NOTE: While Canada and Argentina Residents may not be required to report prize winnings in their country of residence, the prize provider (as a US entity) is required to report the distribution of all prizes in excess of $600 USD to the IRS. This reporting process does not impose a US tax liability on the applicable prize winner, rather fulfill the prize provider’s tax reporting obligations. Canada and Argentina resident winners will receive an IRS form 1042S at the end of the tax year for which the Grand Prize is received. It is the responsivity of the prize winner to consult with a tax professional in his/her country to determine tax obligations (if any).
Canada Winner Only: The potential Grand Prize Winner from Canada will be required to correctly complete and return a mathematical skills testing question (“Skills Testing Question”) within seven (7) days or less from receipt of the Skills Testing Question from the Independent Administrator via email. Failure to correctly answer the skill testing question will result in disqualification.

If a Grand Prize Winner fails to return the required documents within the time period required, or if an email notification is returned as undeliverable, such potential Grand Prize Winner forfeits his/her right to the respective prize and an alternate may at the discretion of the Sponsor be selected at random from the remaining non-winning eligible entries received for the respective country during the Sweepstakes Period. Such potential Grand Prize winner will be notified as outlined above, even if the disqualified potential Grand Prize Winner’s name may have been publicly announced. If it is determined by the Sponsor, in its sole discretion, that a potential Grand Prize Winner is not eligible or otherwise not in compliance with these Official Rules, the potential Grand Prize Winner forfeits his/her right to the Grand Prize and an alternate will be notified as outlined above, even if the disqualified potential Grand Prize Winner’s name may have been publicly announced. In the event a potential Grand Prize Winner is disqualified for any reason Sponsor/Independent Administrator shall have no liability or obligation to such individual.

PUBLICITY: Except where prohibited, all Grand Prize Winners (and Guests) must consent (in writing via the Release and Travel Waiver described in the “PRIZE CLAIMS” section above) to the use of their name, likeness, voice, photograph, testimonials, statements, opinions, biographical information, hometown and state/province/territory of residence in advertising (including online, on air, and in print) worldwide for promotional and publicity purposes in any media without further notice, payment, consideration or limitation. See “PRIVACY” section for complete details regarding data protection.

PRIZES: Three (3) Grand Prizes will be awarded in this Sweepstakes, equivalent to one (1) Grand Prize per Giveaway. The approximate retail value (the “ARV”) of each Grand Prize is $5,000 USD (for the US Resident Grand Prize Winner)/$6,410.38 CDN (for the Canadian Resident Grand Prize Winner)/$426836.25 ARS (for the Argentina Resident Grand Prize Winner).

Each Grand Prize includes a seven (7) night trip for the Grand Prize Winner and one (1) Guest (“Trip”). Each Trip will include (all determined at the sole discretion of the Sponsor); (a) round trip coach class air transportation via Copa Airlines for Grand Prize Winner and one (1) Guest. In the event Grand Prize Winner resides more than seventy-five (75) miles from an airport that supports departing Copa Airlines flights, Sponsor will fly Grand Prize Winner and Guest from the nearest major international airport near Grand Prize Winner’s residence to a city airport that supports departing Copa Airlines flights to Panama City, Panama (as determined by Sponsor in their sole discretion). Sponsor does not guarantee direct flights to Panama.; (b) hotel accommodations within and outside of Panama City, including daily breakfast; (c) one (1) full day tour in Panama City; (d) one (1) full day tour outside of Panama City (within Panama); (e) ground transportation to and from the hotel in Panama City; and (f) travel insurance for Grand Prize Winner and Guest.

Hotel accommodations are based on one room, double occupancy and include room and tax only. If Grand Prize Winner elects to partake in any or all portions of his/her Grand Prize with no Travel Companion, the Grand Prize will be awarded to Grand Prize Winner based upon the total number of travelers and any remainder of the Grand Prize will be forfeited and shall not be subject to further or alternative compensation. All elements of the Grand Prize trip must be redeemed at the same time, and no changes will be permitted after confirmation of any redemption. Specific travel arrangements are subject to air travel, holiday, blackout dates, and other prize and travel restrictions (including, but not limited to the following: December 15 – January 15), Carnival Week (February 12 – February 17); Holy Week (March 28 – April 3); Panama National Holidays (November 1 – November 10); and Thanksgiving (November 25 – November 28). Trip must be taken within one (1) year of notification and booked no later than forty-five (45) days prior to departure or Grand Prize will be forfeited. Reservations are subject to availability. ARV of Grand Prize may vary depending upon the points of departure, destination city, ground transportation, and/or airline fare fluctuations. Any difference between the stated ARV and final ARV of Grand Prize will not be awarded. Grand Prize consists only of the elements expressly set forth herein; no other elements or expenses (including, without limitation, insurance, additional meals, unspecified ground transportation, phone calls, gratuities, incidentals, souvenirs, gasoline, other personal expenses, etc.) are included in the Grand Prize and all such expenses are the sole responsibility of the Grand Prize Winner. Grand Prize Winner is responsible for any air travel taxes and/or expenses, including applicable departure taxes or fees, baggage fees, inspection charges, and security charges. Grand Prize Winner and Travel Companion are responsible for obtaining all required travel documents, including but not limited to photo identification, passports and any other required travel documents, which shall be determined solely by the Grand Prize Winner. Once issued, tickets are nontransferable and may not be reissued once travel has commenced. Open ended tickets may not be issued, and stopovers are not permitted. Travel arrangements must be made through Sponsor. Grand Prize Winner cannot assign or transfer the Grand Prize to another person. No prize substitution or cash alternative allowed except at the sole discretion of the Sponsor, who reserves the right to substitute the Grand Prize (or any portion thereof) with a prize of comparable or greater value, in their sole discretion. The Sponsor will determine airline and flight itinerary subject to final Sponsor approval. No refund or compensation will be made in the event of the cancellation or delay of any flight. Reservations made are subject to availability and may be restricted during major holiday periods or blackout periods. A personal credit card imprint or cash deposit may be required by the hotel for incidental charges and personal expenses. In the event the personal credit card or cash deposit is required by the hotel selected by Grand Prize Winner, Grand Prize Winner will be solely responsible for supplying such personal credit card and or cash deposit and for all personal expenses / incidental charges not included as part of the Trip.

TRAVEL & COVID-19 (if applicable at time of travel): A negative COVID-19 test result may be required to travel. Grand Prize Winner and Guest are each solely responsible for determining the requirements for COVID testing when entering the destination city and returning to his/her country of residence. All testing (if required) shall be at the sole expense of the Grand Prize Winner and his/her Guest. Each Grand Prize Winner and Travel Companion understand and agree that indoor gatherings are inherently dangerous due to the COVID-19/Coronavirus epidemic/pandemic which is a highly contagious and communicable disease; and, to the fullest extent permitted by law, each assumes any and all risks of illness, injury or even death which may arise directly or indirectly, in whole or in part, from attendance at the event. While all activity venues, transportation companies will closely follow all cleaning and safety protocols in accordance with all applicable laws and regulations so as to prevent the spread of COVID-19/Coronavirus, Grand Prize Winner and Travel Companion understand that it is possible that he/she may still contract COVID-19/Coronavirus and/or infect others even if they are asymptomatic. Grand Prize Winner and Travel Companion further understand and agree that, in response to economic and/or social conditions engendered by COVID-19/Coronavirus (regardless if mandated by a governmental authority), Sponsor may be compelled to modify, postpone or even cancel outright any events, city stops, activities, methods of transport or any other element of the trip on the originally approved dates at the originally approved locations with little (if any) advanced notice. In such case, Sponsor may allow Grand Prize Winner to re-schedule and/or cancel; however, Sponsor reserves the right in its sole discretion to substitute an entirely different prize of comparable value and such substitute prize shall constitute the entire liability of Sponsor. Unless otherwise stated herein, Grand Prize Winner and Travel Companion also understand and agree that Sponsor has not obtained any insurance for them relative to acceptance and use of the Grand Prize. In all cases, Grand Prize Winner and Travel Companion, to the fullest extent permitted by law, indemnify, release and agree to hold harmless Sponsor, Independent Administrator and all other Sweepstakes Entities from any and all liability which may arise directly or indirectly, in whole or in part, from acceptance and use of the Grand Prize during the COVID-19 Coronavirus epidemic/pandemic.

The value of the Grand Prize is taxable as income and the Grand Prize Winner is solely responsible for any taxes, including, but not limited to, all applicable federal, state/territorial/provincial and local taxes that become due with respect to the value of the Grand Prize. No transfer or substitution of a Grand Prize is permitted, except at Sponsor’s sole discretion or as otherwise provided herein. Except as otherwise set forth herein, Grand Prize will be awarded.

Names of prize manufacturers, venues and other prize elements are used solely for description of a prize. No sponsorship, endorsement or authorization of prize manufacturers, venues or talent are intended or implied by such use.

GENERAL RULES OF PARTICIPATION: By participating in this Sweepstakes, Entrants and Grand Prize Winners [a] release each and all of the Sweepstakes Entities, from any and all liability, damages or causes of action (however named or described) with respect to or arising out of participation in the Sweepstakes, and/or the receipt or use/misuse of the Grand Prize awarded, including, without limitation, liability for personal injury, death or property damage; and [b] agree to be bound by these Official Rules and the decisions of the Sponsor/Independent Administrator, which are final in all respects and not subject to appeal. Sponsor reserves the right permanently to disqualify from this Sweepstakes any Entrant or Grand Prize Winner it believes has violated these Official Rules. Sponsor may prohibit an Entrant from participating in the Sweepstakes or winning the Grand Prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices or intending to annoy, abuse, threaten or harass any other Entrants, Sponsor, or Sweepstakes Entities. If for any reason this Sweepstakes is not able to be conducted as planned, including, but not limited to, by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud or any other causes beyond the reasonable control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes and selected a Grand Prize Winner based on the entries received up to the cancellation, modification, termination, or suspension date. Notification of such action will be provided on the Website. To the fullest extent permitted by law, Entrants covenant not to sue any Sweepstakes Entity or cause them to be sued regarding any matter released above; and further covenant not to disaffirm, limit or rescind any releases. A waiver by one or more of the Sweepstakes Entities of any term in these Official Rules does not constitute a waiver of any other provision. CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. SPONSOR'S FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF THESE PROVISIONS.

NO LIABILITY: By participating, Entrants and each Grand Prize Winner agree to release, discharge, indemnify and hold harmless the Sponsor, and the Sweepstakes Entities, and each of their respective officers, directors, employees, representatives and agents from and against any claims made by the Grand Prize Winner, Entrants, or any other third parties, related in any way to the operation of this Sweepstakes as well as any other claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from receipt, acceptance, possession, misuse or use of the Grand Prize; participation in any Sweepstakes-related activity; or participation in this Sweepstakes.

PRIVACY: The collection of personal information provided in connection with this Sweepstakes will be used solely for purposes of disclosing public winner lists (as required by law) and fulfilling the prizes herein (if an Entrant is selected as a Grand Prize Winner only). The collection of non-personally identifiable information (including, but not limited to a person’s browser type or IP address in association with a person’s visit to the Website) may be used for a range of analytical and recordkeeping purposes, among other objectives. It should be emphasized that non-personally identifiable information is, by definition, anonymous and cannot be used to identify a particular Website visitor. All personal and non-personally identifiable information collected during the Sweepstakes Period will be in accordance with Sponsor’s privacy policy located at visitpanama.com/privacy-policy. If you do not wish to provide your first name, last name address, city/province, state/territory, zip/postal code, email address and date of birth, do not enter this Sweepstakes. Argentina Residents may request to rectify or erase their personal information from Sponsor’s database by sending an email to: panama@beautifuldestinations.com.

WINNER’S LIST REQUEST: For the name of the Grand Prize Winners or a copy of these Official Rules, please submit a self-addressed, stamped envelope by April 30, 2021 to “Discover Your Panama Giveaway”, PO Box 458, Newark, NY, 14513. The first name, last initial, city/province and state/territory will also be published on the Website ten (10) days immediately following the random drawings.
